Plain-English note. These terms were drafted in plain language and reviewed by the founder. They are not legal advice, and no lawyer has signed off on them for your situation. If your procurement or legal team needs changes, write to us and we will work through them.
Who you are agreeing with
Sortie HQ is a software product operated by its founder as a solo operation, reachable at runiondd@gmail.com. In these terms, "we", "us" and "Sortie HQ" mean that operation. "You" means the organization that signs up, and everyone who uses the service through that organization's account.
By creating an account, starting a trial, or using the service, you accept these terms. If you are accepting on behalf of a company, you are confirming that you are allowed to bind that company.
Your account
Your organization gets one workspace. The person who signs up first is the administrator and can invite others, assign roles, and manage billing.
- You are responsible for what happens under your account, including what people you invite do with it.
- Keep sign-in credentials private. Tell us promptly if you think an account has been compromised.
- Each plan includes a number of creator seats. Viewers are unlimited and free. Don't share a single creator login between several people to avoid buying seats.
- You must be at least 18 and using Sortie HQ for work, not personal use. The service is not designed for consumers or for children.
What the software does
Sortie HQ takes the strategy and initiatives you describe and uses large language models to break them into work items, with estimates, dependencies and acceptance criteria. It produces drafts for people to judge. It does not make decisions for you, and it does not execute the work it plans.
Two consequences worth stating plainly:
- AI output can be wrong. Estimates, dependency maps, confidence scores and classifications are generated by a model. Review them before you commit a team, a budget or a date to them.
- You own the decisions. Nothing Sortie HQ generates is professional advice of any kind, and we are not responsible for business outcomes that follow from a plan you chose to act on.
We may change, add or remove features over time. If we remove something you depend on materially, we will tell you in advance where we reasonably can.
The trial, and how it converts
The free trial lasts 14 days, requires a payment card up front, and turns into a paid subscription automatically when it ends. We do not ask you again at the end. If you do not want to be charged, cancel before day 14 — one click in Manage billing, or email us and we will cancel it for you.
Cancel at any point during the trial and you are charged nothing at all.
- The trial runs for 14 days from the day you start it, and includes a one-time credit allowance so you can run real planning work.
- You choose your plan when you start the trial. That is the plan the trial converts into, at the price shown on the pricing page at the time you signed up.
- On day 14, your card is charged for the first billing period unless you cancelled first.
- You can also choose to end the trial early and start the paid plan immediately. The app asks you to confirm the charge before that happens.
- One trial per organization and per payment card. If a card has already been used for a trial, we cancel the second trial rather than let it convert, and we tell the administrator why.
Plans, billing and renewal
Sortie HQ is a subscription. Current list prices:
| Plan | Price | How you buy it |
|---|---|---|
| Team | $249 per month, or $2,490 per year | Self-serve, card |
| Growth | $599 per month, or $5,990 per year | Self-serve, card. Invoicing available |
| Scale | $1,499 per month, or $14,990 per year | Talk to us. Invoiced |
Annual is two months free — you pay ten months' worth for twelve months of service. The pricing page is the current source of truth for prices, seat counts and credit allowances, and it is part of these terms.
Automatic renewal
Subscriptions renew automatically. A monthly plan renews every month and an annual plan renews every year, at the then-current price for your plan, until someone cancels. We do not send a separate renewal request before each period. Stripe emails you a receipt each time you are charged.
Price changes
If we change the price of your plan, we will tell you by email at least 30 days before it applies to you. The new price takes effect at your next renewal, so you always have a full billing period to cancel first. Price changes never apply retroactively to a period you have already paid for.
Payment
- Payments are processed by Stripe. Card numbers go to Stripe and never touch Sortie HQ's servers. We store your Stripe customer and subscription identifiers and your plan state, nothing more.
- Prices are in US dollars and exclude any sales tax, VAT or similar tax, which is added where it applies.
- If a payment fails, Stripe retries it. If it keeps failing, we may suspend the account until it is resolved. We will email the administrator before that happens.
- Credits are an allowance, not currency. They have no cash value, are not refundable, and unused monthly credits do not roll over. Details are on the pricing page.
Cancelling and refunds
You can cancel whenever you like, without talking to anyone:
- Sign in and open Billing, then Manage billing. That opens the Stripe customer portal, where you can cancel the subscription.
- Or email runiondd@gmail.com and ask. We will cancel it and confirm by reply.
Cancelling during the trial costs nothing. Cancelling on a paid plan stops the next renewal; your subscription keeps running until the end of the period you have already paid for, and then stops.
We do not automatically refund part-used periods. If something went genuinely wrong — you were charged after cancelling, charged twice, or billed for something you could not use because of a fault on our side — email us and we will make it right.
Exporting your work before you leave: today, Sortie HQ can export plans and reports as PDF and PowerPoint from inside the app, and we will provide a copy of your organization's data on request. See the privacy policy for how that works.
Your content
Your content stays yours. The strategies, initiatives, work items, documents, chat messages and anything else you put into Sortie HQ belong to you. So do the plans the service generates from them.
You give us permission to store, process and transmit that content only so far as we need to in order to run the service for you — for example, saving it in the database, sending it to the LLM provider you configured, and showing it to the people in your workspace. That permission ends when you delete the content or close the account.
We do not train models on your content, and we do not use it to improve the product for other customers. If you connect your own LLM provider, your content is governed by your contract with that provider on the model side; see the next section.
You are responsible for having the right to put the content into Sortie HQ in the first place, and for not putting in things the service was not designed for — see Acceptable use.
If you send us feedback or feature ideas, we may act on them freely and without owing you anything.
Your LLM provider
Every organization starts on Sortie HQ's managed AI, and planning work is metered in credits. You can instead connect your own account with a model provider — today that means Anthropic, OpenAI, or Azure OpenAI — and Sortie HQ calls it with your key, on your instruction. If you do:
- Your relationship with that provider is yours. Their terms, their privacy commitments and their model behaviour apply to the content we send on your behalf.
- You pay that provider directly for model usage, and planning work stops consuming credits.
- You are responsible for keeping the key valid and funded. If it stops working, planning runs fail, and that is not an outage on our side.
On the managed AI, model calls go to our provider under our agreement with them, and the privacy policy says so explicitly.
Sortie HQ classifies which work a coding agent could take on. It sends work to an agent only if you connect an agent runtime and switch on automatic dispatch — both are off by default. If you connect an agent runtime, you own how it behaves and what it does.
Acceptable use
Do not use Sortie HQ to:
- Break the law, infringe someone's rights, or process content you have no right to.
- Store regulated data the service was not built for — in particular protected health information, payment card numbers, government ID numbers, or classified material. Sortie HQ is a planning tool and makes no compliance claims for that kind of data.
- Attack, probe or overload the service, or try to get at another organization's data.
- Resell the service, or use it to build a competing product.
- Evade seat limits, credit allowances or trial limits.
Availability and support
We want the service up and will work to keep it that way, but we want to be straight with you about the stage we are at: Sortie HQ is a small operation and does not offer a contractual uptime guarantee or service credits today. There will be maintenance windows, and there may be incidents.
Support is by email at runiondd@gmail.com. We aim to answer within one business day. Scale customers can agree different terms in writing.
Planning runs depend on a third-party model provider — yours or ours. If that provider is down, slow, or rate-limits your key, Sortie HQ will be affected and that is outside our control.
Suspension and termination
You can stop using Sortie HQ and close your account at any time.
We may suspend or close an account if payment fails repeatedly, if the account is being used in a way that breaks Acceptable use, or if we are legally required to. Except in an emergency or where the law prevents it, we will email the administrator first and give you a chance to fix the problem.
When an account closes, we keep your data for 30 days so you can ask for a copy or change your mind, and then delete it on the schedule described in the privacy policy. Backups age out after that.
What we do not promise
The service is provided "as is". To the fullest extent the law allows, we disclaim all implied warranties, including merchantability, fitness for a particular purpose and non-infringement.
Specifically, we do not warrant that the service will be uninterrupted or error-free, or that anything the models generate — estimates, dependencies, classifications, confidence scores, summaries — will be accurate, complete or suitable for your decision. That is why every generated plan is a draft for a person to approve.
Some jurisdictions do not allow these exclusions. If yours does not, this section applies to you only as far as it is permitted.
Limits on liability
To the fullest extent the law allows:
- Neither side is liable for indirect, incidental, special or consequential loss, or for lost profits, lost revenue, lost data or business interruption.
- Our total liability to you for any and all claims is capped at the amount you paid us in the 12 months before the claim arose. If you have paid us nothing — for instance during a trial — the cap is US $100.
These limits do not apply to fraud, willful misconduct, or anything a law says cannot be limited. They also do not cut across your obligation to pay fees you owe.
Indemnity
You agree to cover us against third-party claims, and the reasonable legal costs that come with them, arising from content you put into Sortie HQ, from your use of the service in breach of these terms, or from your use of the plans it generates. We will tell you promptly about any such claim and let you control the defence, and we will not settle it without your agreement.
Changes to these terms
We may update these terms. If a change materially affects your rights, we will email the administrator at least 30 days before it takes effect, and the "last updated" date at the top of this page will change. Carrying on using the service after that date means you accept the new version. If you do not, cancel before it takes effect and we will refund any unused prepaid period.
Governing law and disputes
These terms are governed by the laws of the United States and of the state in which Sortie HQ is established, without regard to conflict-of-law rules. The courts of that state have exclusive jurisdiction, and both sides consent to it.
Before either of us files anything, we agree to try to sort it out directly: email the other side, describe the problem, and give it 30 days.
If any part of these terms turns out to be unenforceable, the rest stays in force. These terms, together with the pricing page, the privacy policy and — where you have signed one — the Data Processing Addendum, are the whole agreement between us.
